Buy a forex / CFD broker in Australia — an ASIC-supervised AFSL

You came here to acquire a margin-FX or CFD operator with an Australian Financial Services Licence already in force, not to wait 8–14 months for ASIC to grant a fresh one. Cadena Brokers presents pre-vetted AFSL holders with the derivative-issuer authorisations a forex or CFD desk actually needs, banking that survives change-of-control, and a Responsible Manager bench you can keep or replace without breaching general obligations.

Brief us on the mandate

Why Australia

An AFSL is one of the few Anglosphere licences that lets you market-make to retail and wholesale clients under a single authorisation

The Australian Financial Services Licence is issued by the Australian Securities & Investments Commission (ASIC) under section 911A of the Corporations Act 2001 (Cth). Carrying on a financial-services business in Australia without one is a criminal offence; offering margin-FX or CFDs to Australian retail clients counts as a financial service whether the operator is onshore or not.

For acquirers, the value of the regime is its breadth and its branding. An AFSL with the right authorisations covers dealing in derivatives, market-making, foreign exchange contracts, general or personal advice, and custodial services. A forex or CFD book can sit alongside a wholesale-MIS or share-broking line without needing a second licence. ASIC’s reputation as a credible Anglosphere supervisor also matters for prime-broker onboarding, payment-rail introductions, and partner-affiliate compliance reviews; tier-1 PSPs read “ASIC-supervised” the way they read “FCA-supervised”.

One nuanced point worth flagging early. ASIC grants an AFSL on its specific authorisations, not on the licence number alone. An entity authorised for “general advice and dealing in basic deposit products” is cheap on the market and useless to a CFD operator. The first diligence question on any listing is whether the authorisations cover OTC derivative issuance and foreign exchange contracts at the client tier you intend to serve.

Scope

What an AFSL permits for a forex or CFD operator

The relevant authorisations for a margin-FX / CFD book are deal in and issue derivatives and foreign exchange contracts, to retail and wholesale clients. With those flags on, the entity can act as principal market-maker, run an OTC CFD book, offer margin-FX, and route to liquidity providers under its own name. With “advice” authorisations added it can also publish general or personal advice — relevant for brokers running a research arm.

Capital is set under RG 166 Financial Requirements. A market-maker / OTC derivative issuer holds Net Tangible Assets of at least AUD 1,000,000 or 10% of average revenue, whichever is higher, plus adjusted-surplus-liquid-funds and cash-needs tests. Client money sits in segregated statutory trust accounts under the Corporations Regulations. ASIC’s CFD product-intervention order (extended through 2027) caps retail leverage at 30:1 on major-pair FX, 20:1 on indices and commodities, and 2:1 on crypto-derivative CFDs — relevant to the conduct posture you inherit, not to whether you can operate.

Two Responsible Managers are the practical minimum; ASIC examines each RM’s experience and training against RG 105 Licensing: Organisational competence. Acquirers commonly transition one or both RMs as part of completion, on a consultancy bridge until the new RM is in place. We brief on the bench composition before signature, not after.

Our book

What we broker here

Live, operational AFSL holders with derivative-issuer and foreign-exchange-contract authorisations, retail or wholesale or both. Pre-vetted on three gates before the file reaches an acquirer: regulatory standing (no current ASIC enforcement action, no live infringement notice, RM register in good order); banking continuity (acquiring bank pre-cleared on the change-of-control narrative, statutory trust accounts active); sanctions and litigation review (UBO clean, no AUSTRAC reportable issues, no live civil proceedings).

We do not broker shelf AFSLs marketed as “never activated”: ASIC may consider non-use grounds for variation or cancellation, and a forex acquirer cannot meaningfully diligence a structure that has no operating history. Every entity in the book has been live long enough to demonstrate ongoing compliance under section 912A.

Process

How an Australian acquisition closes

Mandate, NDA, and a shortlist within days; sealed-bid offer once your team has read the diligence room; SPA, escrow, and ASIC change-of-control notification on completion. ASIC must be notified within 30 business days of the new controller taking control (controller = greater than 50% of voting shares or ability to determine board composition); since 16 June 2025 those notifications are filed via the ASIC Regulatory Portal. Banking continuity and RM transition run in parallel with the regulatory file. See the full process page for the deal-flow detail.

Why Cadena

Buy-side mandate, Australian specifics

  • We represent the acquirer only. No mixed-mandate conflict, no seller-side pressure on price, and the diligence room is run for your benefit.
  • We read the authorisations, not the marketing. Every AFSL listing on the public market gets sold on its number; we read RG 105, the RM register, and the auditor’s RG 166 sign-off before the file goes out.
  • We know the ASIC controller-change process. The 30-business-day window, the portal filing, the supervisory expectations on the incoming controller’s fit-and-proper file, handled in lock-step with the SPA rather than afterwards.

FAQ

Acquirer questions on the Australian AFSL

Can you buy an AFSL in Australia?

Yes. An AFSL is held by a corporate entity, so the licence transfers with the shares of that entity. The mechanic is a share-sale and a change-of-control notification to ASIC, not a licence assignment. Cadena Brokers presents pre-vetted Australian Financial Services Licence holders for acquisition; the licence number stays with the company, you acquire the company.

What does an AFSL for sale typically include?

The corporate entity with its licence number, the specific authorisations on the licence (the scope flags ASIC granted: deal in derivatives, issue derivatives, foreign exchange contracts, advice, custodial, and so on), the existing Responsible Managers if they remain post-completion, the statutory trust accounts, and any live client agreements. What does not transfer automatically: any non-ASIC permission (AUSTRAC enrolment, OAIC notifications) and any contractual relationship requiring counterparty consent.

How does ASIC handle a change of control of an AFSL?

Under section 912A of the Corporations Act, the licensee must notify ASIC within 30 business days of the new controller taking control (controller defined as greater than 50% of voting shares or the ability to determine board composition). Since 16 June 2025 all controller-change notifications are filed through the ASIC Regulatory Portal. ASIC may request additional information on the incoming controller’s fit-and-proper position, including beneficial-owner identity, criminal history declarations, and the funding source of the acquisition.

What is the capital requirement for a forex / CFD market-maker AFSL?

Under RG 166 Financial Requirements, an OTC derivative issuer or market-maker must hold Net Tangible Assets of at least AUD 1,000,000 or 10% of average revenue, whichever is higher. The licensee is also subject to the adjusted-surplus-liquid-funds test and the cash-needs test, both audited annually. Client money sits in segregated statutory trust accounts under the Corporations Regulations and cannot be used to meet the operator’s own obligations.

Do you broker shelf AFSLs or only operational entities?

Operational only. ASIC takes a dim view of long-dormant AFSLs and may treat non-use as grounds for licence variation or cancellation; a forex acquirer also cannot meaningfully diligence a structure that has no trading history, no bank-account history, and no compliance audit trail. Every AFSL holder we present has been live long enough to demonstrate ongoing compliance under section 912A, with a current auditor’s RG 166 sign-off in the data room.

How does an AFSL compare to a Cyprus CIF or a Mauritius forex licence for a global broker book?

Different regimes, different acquirer profiles. Cyprus CIF passports across the EEA and is the standard route into European retail — see Buy a CIF in Cyprus. Mauritius is the lighter-touch jurisdiction for emerging-market and B2B liquidity arrangements — see Buy a forex licence in Mauritius. An Australian AFSL serves the APAC-focused or globally-branded broker that wants tier-1 Anglosphere supervision and access to retail under the ASIC product-intervention conduct rules; it is not a passport into any other market, but it carries supervisory credibility that the offshore licences do not.
